Sino Tax offers this website, including all information, tools, and services available from this site to you, conditioned upon your acceptance of all terms, conditions, policies, and notices stated here.

By visiting our site and/or engaging in our services, you agree to be bound by the following terms and conditions (“Terms of Service,” “Terms”), including any additional terms and policies referenced herein and/or available by hyperlink. These Terms apply to all users of the site, including but not limited to browsers, clients, and contributors of content.

Please read these Terms of Service carefully before accessing or using our website. By accessing or using any part of the site, you agree to these Terms. If you do not agree to all the terms and conditions of this agreement, you may not access the website or use any of our services.

SECTION 1 – SCOPE OF SERVICES

Tax Preparation Services: Sino Tax provides tax preparation services based solely on the information provided by the client. Our role is limited to the preparation and submission of federal and state tax returns and related documents in accordance with IRS and state tax requirements. We do not verify, audit, or independently review the data supplied. Tax returns and related documents are prepared exclusively for filing with the IRS and/or state tax authorities. You are solely responsible for the completeness and accuracy of all information provided, and Sino Tax will not be liable for any errors, omissions, or penalties arising from inaccuracies or incomplete information.

Business Formation Services: Sino Tax assists clients in forming new businesses, including document drafting and filing. Sino Tax shall not be responsible for any legal, tax, or compliance issues that arise from errors or omissions in client-provided information or from legal or regulatory developments impacting the business post-formation.

Other Services: Sino Tax may provide other services upon request, which may include, but are not limited to, consulting, and specialized filings. All services provided rely entirely on the data, information, and instructions supplied by the client, and Sino Tax assumes no responsibility or liability for any issues, errors, or outcomes that may arise from reliance on this information or for any actions or omissions resulting from the scope of work provided.

SECTION 2 – TAX SERVICES FOR US ENTITY OWNED BY FOREIGN PERSON(S)

Foreign Single Member LLCs Taxed as Disregarded Entities (DE): If your business is a Single Member LLC owned by a foreign individual and is treated as a disregarded entity (DE) for U.S. tax purposes, you must provide an Individual Taxpayer Identification Number (ITIN) or Social Security Number (SSN) to enable us to prepare your 1040NR tax return (If Applicable). Absence of an ITIN or SSN does not exempt you from filing; in such cases, we may only be able to file an Information Tax Return (Form 1120 pro forma) with Form 5472 (If Applicable). You are solely responsible for obtaining and providing an ITIN or SSN if required. Sino Tax shall not be liable for any non-filing, penalties, or other consequences arising from the absence of an ITIN/SSN or from inaccuracies in client-provided information.

Foreign Investments and Transactions: If this reporting entity is involved in any “reportable transactions” with a related party, filing IRS Form 5471 or Form 5472 is required. It is your responsibility to provide us with all relevant information. A “related party” includes, but is not limited to, any foreign shareholder with at least 25% ownership, either directly or indirectly. Failure to disclose these transactions may lead to significant penalties. Reportable transactions include, but are not limited to, borrowing and lending activities between the reporting entity and related parties. For more information, please consult with us or refer to IRS Forms 5471 and 5472. You must inform us of any reportable transactions, as failure to file, late filing, or filing inaccurate information may result in penalties.

SECTION 3 – CLIENT RESPONSIBILITIES

You are solely responsible for ensuring the accuracy, completeness, and timeliness of all information provided to Sino Tax.

Personal Expenses: You must properly segregate personal expenses (such as meals, travel, entertainment, vehicle use, and gifts) from business expenses and maintain adequate records to comply with IRS requirements.

Gift Deductions: If gifts to any client exceed $25 USD per tax year, you must inform us, as these are subject to special IRS rules.

Other Filing Requirements: You are responsible for informing us of any additional state or local filing obligations, reporting requirements, or elections that may be applicable. Sino Tax is not liable for any penalties or compliance issues arising from the client’s failure to inform us of such requirements.

Entity Classification: It is your responsibility to file IRS Form 2553 or Form 8832 for any tax classification election and to ensure your business’s tax classification is accurate before signing the tax return.

Review and Filing Authorization: Once your tax returns are drafted, we will provide a copy for review. It is your responsibility to carefully review all figures, tax years, accounting methods, forms, schedules and others. You must notify us of any omissions or mistakes before signing the tax return or e-file Signature Authorization (Form 8879). We will not file your tax returns until we receive signed authorization. Sino Tax is not liable for any penalties, interest, or late fees resulting from delays in your authorization. For security reasons, identification numbers on your copy of the tax return may be partially masked; an unmasked copy can be provided upon request.

Tax Payment Responsibility: If you owe taxes, you are responsible for submitting the payment to the appropriate tax authority. If you provide bank information for electronic withdrawal, it is your responsibility to ensure the payment is processed successfully.

SECTION 4 – LIMITATIONS OF LIABILITY

Sino Tax shall not be liable for any loss, damages, or penalties arising from reliance on inaccurate or incomplete information provided by the client. You agree to indemnify and hold us harmless from any claims, damages, liabilities, or costs resulting from your failure to provide accurate and timely information. We make no guarantee or warranty as to the accuracy, effectiveness, or compliance of services provided based on client-supplied data.

SECTION 5 – ACCEPTANCE OF TERMS

By engaging our services, you acknowledge and accept these terms. Acceptance is deemed effective upon any of the following actions: signing the engagement letter, signing the tax return or e-file authorization form, or continued use of our services. If you do not agree with these terms, please notify us in writing before proceeding.

SECTION 6 – GENERAL CONDITIONS

We reserve the right to refuse service to any client at any time. Sino Tax reserves the right to terminate services immediately if it determines that the client has breached any of these Terms.

SECTION 7 – CONFIDENTIALITY AND PRIVACY

We prioritize confidentiality and comply with applicable privacy laws. However, Sino Tax shall not be liable for unauthorized access to client information due to security breaches or other unforeseen events beyond our control.

SECTION 8 – MODIFICATIONS TO SERVICES AND PRICING

Sino Tax reserves the right to modify or discontinue services, change pricing, or adjust the scope of services provided without notice. Continued use of our services after such changes constitutes acceptance.

SECTION 9 – PROHIBITED USES

You agree not to use our services or website for any unlawful, unauthorized, or unethical purposes or in a way that violates local, state, federal, or international laws. Any prohibited use will result in immediate termination of services.

SECTION 10 – DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY

All services and materials provided by Sino Tax are on an “as is” and “as available” basis, without warranties of any kind, either express or implied. Sino Tax does not guarantee uninterrupted or error-free service. We are not liable for any direct, indirect, incidental, punitive, or consequential damages arising from your use of our services or from errors or omissions in any materials or information provided.

SECTION 11 – INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Sino Tax, our employees, agents, and affiliates from any claims, demands, damages, or losses arising from your breach of these Terms, your violation of any law, or the infringement of any third-party rights.

SECTION 12 – SEVERABILITY

If any provision of these Terms is deemed unlawful, void, or unenforceable, such provision shall still be enforceable to the fullest extent permitted by law, and the unenforceable portion shall be considered severed without affecting the validity of remaining provisions.

SECTION 13 – TERMINATION

All obligations and liabilities incurred prior to termination shall survive termination of this agreement. These Terms shall remain effective unless terminated by either you or Sino Tax.

SECTION 14 – ENTIRE AGREEMENT

These Terms constitute the entire agreement between you and Sino Tax. Any ambiguities in the interpretation of these Terms shall not be construed against Sino Tax.

SECTION 15 – GOVERNING LAW AND JURISDICTION

These Terms and any separate agreements whereby we provide services to you shall be governed by and construed in accordance with the laws of the State of New York, United States. Any disputes arising from these Terms shall be subject exclusively to the jurisdiction of the courts located in New York City, New York, United States.

SECTION 16 – CHANGES TO TERMS OF SERVICE

Sino Tax reserves the right to update, change, or replace any part of these Terms by posting updates on our website. It is your responsibility to review these Terms periodically. Your continued use of our services following any changes signifies acceptance of those changes.
